  8. ARTISOFT AND PERFORMANCE TECHNOLOGY ANNOUNCE 
  9. DISCONTINUATION OF MERGER NEGOTIATIONS

  11. (TUCSON, AZ -- May 21, 1992) -- Artisoft, Inc., the 
  12. Tucson-based developer and manufacturer of the award-
  13. winning LANtastic(R) Local Area Network, and 
  14. Performance Technology, Inc., the San Antonio-based 
  15. developer and manufacturer of award-winning local area 
  16. network products, announced today that they have 
  17. discontinued negotiations for the acquisition of 
  18. Performance Technology by Artisoft in a statutory 
  19. merger.

  21. Artisoft and Performance Technology announced in April 
  22. of this year, the signing of a letter of intent which 
  23. conditioned completion of the acquisition on the 
  24. negotiation of a final definitive agreement, and the 
  25. approval of the definitive agreement by the board of 
  26. directors of both companies and by the shareholders of 
  27. Performance Technology. The parties announced today 
  28. that they have been unable to arrive at a mutually 
  29. acceptable agreement, and that further negotiations 
  30. would not be pursued.
